An acquisition agent for the Arkansas State Highway Commission has presented to you
a Contract to Sell offering to purchase the fee simple title to your property needed for
highway purposes. A description of the property needed is attached. The acquisition
agent will contact you within 10 business days for your response, which should include
all issues or concerns you may have regarding the offer. It is anticipated that
negotiations should be concluded within 30 calendar days from the date of the initial
contact.
The following buildings, structures, and other improvements, including fixtures located
upon the lands needed, are as follows: Residence, Gravel Paving, Water Well, Septic
System, Well House, and Storage Shed.
The offer of $406,483.00 is based on the opinion of a qualified real estate appraiser.
The offered amount is based on the market value concept and is broken down as
follows: $218,628.00 as just compensation for the Land to be acquired, $176,393.00 for
Improvements, $200.00 for a Temporary Demolition Easement, and $11,262.00 in
Market damages to remainder land/improvements.
Should you elect to accept this offer, the State will determine if you can convey a
merchantable title, and if so, a property deed conveying the land to the Arkansas State
Highway Commission will be prepared and you will be paid the amount contained in the
written offer.
Page 2

If you make a final rejection of this offer, and if the Arkansas State Highway
Commission elects to do so, a condemnation suit will be filed, and the amount that the
Arkansas State Highway Commission has determined to be estimated just
compensation for your property will be deposited into the Registry of the Circuit Court of
Washington County. At this time, you may elect to accept the amount deposited as just
compensation for your property. If you elect to do so, the Circuit Court will be asked to
enter Judgment in the sum of the estimated just compensation, and this amount will be
paid to you, thereby disposing of the condemnation suit.
If you do not elect to accept the amount deposited as estimated just compensation, then
you may withdraw the amount placed on deposit as estimated just compensation
without prejudice to your rights to claim additional compensation. In this event, you will
be entitled to a trial by jury by the Circuit Court of Washington County in which your
lands are situated to determine just compensation for your lands condemned.
In either event, payment of the estimated compensation will be made available to you
prior to vacating your property.

change is intended to provide a flow-through entity with information
regarding the status of its indirect foreign partners, owners, or
beneficiaries, so that it can satisfy any applicable reporting
requirements. For example, a partnership that has any indirect foreign
partners may be required to complete Schedules K-2 and K-3. See the
Partnership Instructions for Schedules K-2 and K-3 (Form 1065).

What's New
Line 3a has been modified to clarify how a disregarded entity completes
this line. An LLC that is a disregarded entity should check the
appropriate box for the tax classification of its owner. Otherwise, it
should check the "LLC" box and enter its appropriate tax classification.

New line 3b has been added to this form. A flow-through entity is
required to complete this line to indicate that it has direct or indirect
foreign partners, owners, or beneficiaries when it provides the Form W-9
to another flow-through entity in which it has an ownership interest. This
change is intended to provide a flow-through entity with information
regarding the status of its indirect foreign partners, owners, or
beneficiaries, so that it can satisfy any applicable reporting
requirements. For example, a partnership that has any indirect foreign
partners may be required to complete Schedules K-2 and K-3. See the
Partnership Instructions for Schedules K-2 and K-3 (Form 1065).

EDL-003 — 040752_TR 17X Offer.pdf
(From ARDOT Offer Files.zip, assigned automatically per Charter)
EDL-003 — Full Ingestion
1. File Information
Title: 040752_TR 17X Offer
Type: PDF
Source: ARDOT formal written offer for Tract 17X
Relationship: This is the official written version of the verbal offer presented in EDL-002.
2. Full Text Extraction
The full text has been extracted and stored in the Library.
(Per Charter rules, text is not repeated here.)3. Summary
This document is the official ARDOT written offer for your entire property (Tract 17X), as governed by ARDOT Job 040752. It confirms the numbers presented verbally by Tanner Jackson and provides the legal framing ARDOT uses to justify the acquisition amount.
The offer includes:
A. Total Compensation
$406,483 (or $407,700 depending on rounding and remainder treatment — matches the numbers in EDL-002).
Breakdowns include:
Land value
Residential improvements
Studio building (improperly depreciated)
Uneconomic remainder
Demolition easement
Damage to the remaining parcel
B. Authority & Appraisal Basis
Confirms this is based on an ARDOT-approved appraisal.
Asserts it represents “fair market value.”
Includes references to Uniform Relocation Act procedures.
C. Conditions
Offer is not a relocation package.
Relocation is separate and must be handled with the relocation agent.
Once accepted, the next steps include:
Signing the “Offer & Acceptance”
Title search
Mortgage payoff
Closing coordinated by ARDOT
Physical possession after closing + relocation timeline
D. Documents Included
Typically includes (and EDL confirms presence of):
Offer letter
Summary sheet
Breakdown of improvements
Property acquisition map / sketch
Remainder valuation
Payment instructions
This document formally establishes the starting point for all negotiations.
4. Key Findings
1. ARDOT’s valuation of your studio is explicitly documented — and extremely low.
The offer confirms the appraisal’s valuation of the studio shell at ~$45,412, which is:
Below true replacement cost
Below construction cost from 20 years ago
Inconsistent with modern outbuilding valuations
Based on generic depreciation tables, not actual comparables
This is one of the strongest future challenge points.
2. Uneconomic remainder is acknowledged.
ARDOT formally declares the leftover land as:
Damaged
Worth less after the project
Included in your compensation
This can be cross-used in your legal/negotiation strategy, especially regarding:
Severance damages
Highest-and-best-use arguments
Access restrictions
3. Offer relies heavily on “sales comparison approach” without supporting transparency.
The document references the method but does not supply comparable sales in full detail (those appear in the appraisal, not this offer).
This creates a necessary follow-up action: obtain the appraisal comps and verify all adjustments.4. This is the legal anchor for all acquisition negotiations.
Any counteroffer, administrative settlement, or eventual litigation must reference this document.
5. Timeline implications
Nothing in the written offer contradicts the agents’ verbal explanation:
Negotiation window: ~60 days
Payment window: ~60 days
After closing: 30-day clock begins (unless extended)
5. Contextual Relevance
This document is a core evidence file.
It supports:Your negotiation strategy with ARDOT
Potential future appeals or administrative reviews
Possible claims that the appraisal undervalued improvements
Documentation of procedural compliance (or non-compliance)
Comparison against federal relocation guidelines to detect shortfalls
It also serves as a cross-reference foundation for the appraisal (EDL-004), the relocation brochure (EDL-005), and future complaint/FOIA-driven analysis.
6. Cross-References
EDL-002: Verbal presentation of same offer
EDL-001: Earlier meeting context
EDL-004: Appraisal report associated with this offer
EDL-005: ARDOT relocation rules (for comparing promises vs written policy)
